Copyright and Intellectual Property Policy of Agora Speakers International Foundation

1. Scope and ownership

Unless expressly stated otherwise, copyright and other intellectual-property rights in materials created and owned by Agora Speakers International Foundation (“Agora”), including its educational materials, publications, text, graphics, templates, downloadable documents and other original content made available through websites and online services operated by Agora (“Agora Materials”), are owned by Agora.

Certain materials made available through Agora services may instead be owned by third parties, contributors, members or clubs and used by Agora under licence or other lawful authority. Such materials remain subject to the rights and notices applicable to them.

Nothing in this Policy transfers ownership of any intellectual-property right except where expressly agreed in a separate legally binding agreement.

Agora Materials are not in the public domain merely because they are publicly accessible or available without charge. Where particular material is released under a Creative Commons, open-source or other licence, the terms expressly accompanying that material govern its use.

2. Statutory rights preserved

Nothing in this Policy is intended to restrict any use that is permitted without the copyright owner's authorization under applicable law, including applicable exceptions or limitations to copyright.

Where applicable law gives a person rights that cannot lawfully be excluded or restricted by agreement, this Policy does not exclude or restrict those rights.

3. Permission granted to Agora members

Subject to this Policy and any additional terms accompanying particular material, Agora grants current members a limited, non-exclusive, non-transferable and revocable permission to reproduce Agora Materials for their own personal, non-commercial participation in Agora activities and for legitimate activities of an affiliated Agora club.

This permission includes printing reasonable quantities of educational or promotional materials for use at club meetings and providing such copies to participants or prospective members.

This permission does not transfer ownership of the Agora Materials and does not authorize commercial exploitation, public republication or creation of derivative works except as expressly permitted below or in Agora's applicable Brand Guidelines.

4. Club identification and promotional materials

An affiliated Agora club may add its club name, logo and contact information to Agora Materials where this is permitted by Agora's Brand Guidelines.

Where this Policy and the Brand Guidelines address the same use, they should be read together. Specific permissions contained in the Brand Guidelines concerning club-created and derived brand assets remain applicable.

5. Translations

Agora Materials may not be translated and publicly distributed without Agora's prior authorization, except where applicable law permits the particular use without authorization.

Agora may authorize members or volunteers to prepare translations for inclusion in Agora's official materials or services. Copyright ownership and licensing arrangements for an authorized translation must be established through the applicable contributor or translation agreement.

Nothing in this Policy purports to transfer any moral right or other right that cannot lawfully be transferred under applicable law.

An authorized translation may not be represented as an official Agora translation until Agora has approved it for publication.

6. Contributions and modifications

Where Agora permits users to contribute original material, corrections, adaptations, translations or other copyright-protected content through an Agora service, the intellectual-property terms applicable to that contribution will be those contained in the applicable contributor terms or agreement.

Unless such terms expressly provide otherwise, submitting material does not by itself transfer ownership of copyright to Agora.

A contributor must have all rights and permissions necessary to submit the material and to grant any rights specified in the applicable contributor terms.

7. Prohibited uses

Except where expressly authorized by Agora, permitted under the Brand Guidelines, or permitted by applicable law, you may not:

  1. reproduce, republish, upload, host or mirror substantial Agora Materials on another website, server, shared drive, repository or network;
  2. distribute digital copies of Agora Materials to the public;
  3. modify, adapt or create derivative works from Agora Materials;
  4. sell, license, rent or otherwise commercially exploit Agora Materials;
  5. include Agora Materials as a paid product, paid-service component, commercial bundle, premium, gift or other inducement connected with a commercial transaction;
  6. remove or obscure copyright, attribution, trademark or other proprietary notices;
  7. use Agora Materials or branding in a manner reasonably likely to cause confusion as to whether material, an organization, event, product or service is produced, approved, sponsored or endorsed by Agora; or
  8. authorize another person to do anything that this Policy prohibits.

8. Club-created and derived materials

Nothing in Section 7 prohibits affiliated clubs from creating materials, publications, logos, stationery, promotional items or other derived assets to the extent expressly permitted by the current Agora Brand Guidelines.

Club-created material must comply with those Guidelines, including requirements intended to distinguish club communications from official Agora publications.

Permission to use Agora copyright material does not automatically constitute permission to use Agora trademarks, logos or other brand identifiers. Use of those assets is additionally subject to Agora's applicable Brand Guidelines and trademark rules.

9. Third-party material

This Policy does not grant permission to use material owned by third parties merely because that material appears in an Agora publication, website or service.

Users are responsible for obtaining any permission required from the relevant rights holder.

10. Requests for permission

Uses not expressly permitted by this Policy may be authorized by Agora in writing.

Requests should identify the material concerned, the proposed use, the intended audience, the method of distribution and whether the proposed use is commercial.

No permission should be assumed from Agora's failure to respond.

11. Enforcement and termination of permissions

Permissions granted under this Policy are conditional upon compliance with its terms.

Where a person materially breaches this Policy, Agora may withdraw permissions granted under this Policy to that person to the extent permitted by applicable law.

Termination or withdrawal of permission does not affect rights and obligations that arose before termination and does not affect statutory rights that do not depend upon Agora's permission.

Agora reserves all rights and remedies available under applicable law.

12. Changes to this Policy

Agora may update this Policy from time to time to reflect changes in its materials, services, licensing practices or applicable law.

The current version will be published with its effective date.

A change to this Policy will not retroactively revoke rights that were irrevocably granted under a separate agreement or licence. Where a material change affects an existing service or permission, Agora may take reasonable steps to bring the change to the attention of affected users.
